Software License Agreement

This Software License Agreement (the "Agreement") is a legal agreement between you ("You" or "Your") and Novelnetware ("We," "Us," or "Our") for the software products, including plugins and services, offered by Novelnetware (the "Software").

By downloading, installing, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.

1. Grant of License

Subject to the terms and conditions of this Agreement, Novelnetware grants you a limited, non-exclusive, non-transferable license to use the Software.

1.1. Free Version License

For any part of the Software offered free of charge (a "Free Version"), you are granted a perpetual license to use the Software for personal or commercial purposes, subject to the restrictions outlined in Section 2.

1.2. Pro (Paid) Version License

For any part of the Software that requires payment (a "Pro Version"), the license is granted contingent upon your payment of the applicable fees. The license is typically granted on a yearly subscription basis. Your right to use the Pro Version features is valid only during the term of your active, paid subscription.

2. License Restrictions

You may **not**, directly or indirectly:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Software.
• Modify, translate, or create derivative works based on the Software.
• Rent, lease, distribute, sell, resell, assign, or otherwise transfer your rights to use the Software.
• Remove or obscure any proprietary or copyright notices contained in the Software.
• Use the Software for any purpose that is illegal or prohibited by this Agreement.
• Use the Pro Version of the Software after your subscription has expired or has been terminated.

3. Intellectual Property

All right, title, and interest in and to the Software, including all associated intellectual property rights, are and shall remain the sole and exclusive property of Novelnetware. This Agreement does not grant you any rights to trademarks or service marks of Novelnetware. The license granted herein is not a sale of the Software or any copy thereof.

4. Support and Updates

Support and updates for the Software are provided at the discretion of Novelnetware. For Pro Versions, support and access to updates are guaranteed for the duration of your active subscription. We are not obligated to provide support or updates for Free Versions of the Software.

5. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from us if you fail to comply with any term(s) of this Agreement. Upon termination, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

6. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED **"AS IS,"** WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

7. Limitation of Liability

IN NO EVENT SHALL NOVELNETWARE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF NOVELNETWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
